This Terms of Use Agreement ("Agreement") constitutes a legally binding agreement made between you, whether personally or on behalf of an entity ("user" or "you" or "yourself") and Eastern Connecticut Paranormal Society and its affiliated operational and strategic stakeholders (collectively, "Eastern Connecticut Paranormal Society" or "we" or "us" or "our"), concerning your access to and use of the https://www.easternctparanormal.com website as well as any other media form, media channel, mobile website or mobile application related or connected thereto (collectively, the "Website").

Eastern Connecticut Paranormal Society's current and primary domain of focus is the research and study of paranormal phenomenon, parapsychology, theology, and all matters relevant to the evolution of understanding the human condition and its implications on claimed supernatural events. Our mission is to find the truth. That is also the "Website Purpose," ("Eastern Connecticut Paranormal Society's Purpose," or "our Purpose").

To work toward that end, the Website serves as a reservoir of evolving information, initially erected for a way to contact Eastern Connecticut Paranormal Society about paranormal claims; but, which further is able to expand and grow through the experiential, empirical, and theoretical Contributions of its Contributors.

"Contributions" (singularly, "Contribution") are any content or materials; including, but not limited to: text (writings, musings, comments, opinions, stories, examples, facts, quotations, ideas, theories, analyses, logical arguments, suggestions, mathematical formulae and solutions, computer language code, and similar); images, graphics, drawings, paintings, photographs, 3D models, renders, ideograms, sigils, animations, videos, audio, or Personally Identifiable Information ("PII") or related content or materials that you (collectively or in part) Provide to Eastern Connecticut Paranormal Society or to the Website.

"Provide" (also "Provided" or "Providing" or "Content-Provided Means") includes, but is not limited to transmitting, submitting, posting, displaying, performing, publishing, distributing, broadcasting, creating for, or making available to (or via) Eastern Connecticut Paranormal Society or the Website. Further clarification on Contributions is included in the section on USER REPRESENTATIONS below.

"Contributors" (singularly, "Contributor") are those that make Contributions to Eastern Connecticut Paranormal Society or the Website. Further clarifications on who or what can be a Contributor to Eastern Connecticut Paranormal Society are included below in the section on USER REPRESENTATIONS.

The act of Contributors making Contributions is "Contributing" (or "Contributed" if Contributions have already been made).

​

Elucidating further upon the primary role of the Website in respect to Eastern Connecticut Paranormal Society's Purpose: the Website seeks to present fundamental information and further Contributions toward the role of Eastern Connecticut Paranormal Society as a research-oriented group, paranormal investigations, the study of supernatural events, and to the user, and enables a forum wherein the healthy exchange of ideas and other Contributions amongst Contributors is encouraged and integrated within the Website's ceaselessly-evolving reservoir. In the process, the hope is that, collectively, Eastern Connecticut Paranormal Society and its Contributors can improve upon and provide a more complete and accurate perspective of paranormal phenomenon through the Website (this entire paragraph encompasses, to the user, "Eastern Connecticut Paranormal Society's Services," or "Website's Services" or "our Services").

Supplemental terms and conditions or documents that may be posted on the Website from time to time, are hereby expressly incorporated into this Agreement by reference.

We make no representation that the Website is appropriate or available in other locations other than where it is operated by us. The information provided on the Website is not intended for distribution to or use by any person or entity in any jurisdiction or country where such distribution or use would be contrary to law or regulation or which would subject us to any registration requirement within such jurisdiction or country. Accordingly, those persons who choose to access the Website from other locations do so on their own initiative and are solely responsible for compliance with local laws, if and to the extent local laws are applicable.

All users who are minors in the jurisdiction in which they reside (generally under the age of 18) are not permitted to act as Contributors to the Website and minors who are under the age of 13 (or 16 in the European Union) are further not allowed to access the Website nor make use of our Services.

YOU ACCEPT AND AGREE TO BE BOUND BY THIS AGREEMENT BY USING AND SUBSEQUENTLY CONTINUING TO USE THE WEBSITE OR OUR SERVICES. IF YOU DO NOT AGREE TO ABIDE BY THIS AGREEMENT, OR TO MODIFICATIONS THAT WE MAY MAKE TO THIS AGREEMENT IN THE FUTURE, DO NOT ACCESS OR USE OR CONTINUE TO USE OR ACCESS OUR SERVICES OR THE WEBSITE.

USER REPRESENTATIONS

Regarding Provided Contributor Contributions

The Website may invite you to become a Contributor and to comment or chat or participate in article discussions, blog posts, and in message boards, online forums, social media channels, private chat channels and through other functionality and we may, at our discretion, if you are a Contributor, enable you the opportunity (in addition to that which is explicitly defined within Contributions in the previous section) to edit, delete, share, or transform Contributions on Eastern Connecticut Paranormal Society or the Website. Any Contributions to Eastern Connecticut Paranormal Society or the Website will be treated as non-confidential and non-proprietary. When Contributing, the Contributors thereby represent and warrant that:

1. In addition to the Content-Provided Means; that the public display and performance, accessing, modifying, editing, transforming, annotating, downloading, copying, and deleting of Contributions does not and will not infringe the proprietary rights, including but not limited to the copyright, patent, trademark, trade secret or moral rights of any third party;

2. Contributor is the creator and owner of or has the necessary licenses, rights, consents, releases and permissions to use and to authorize Eastern Connecticut Paranormal Society and the Website users to use your Contributions as necessary to exercise the licenses granted by you under this Agreement;

3. Contributor has the written consent, release, and/or permission of each and every identifiable individual person in their Contributions to use the name or likeness of each and every such identifiable individual person to enable inclusion and use of the Contributions in the manner contemplated by this Website or Eastern Connecticut Paranormal Society;

4. Contributions are not obscene, lewd, lascivious, filthy, violent, harassing, derogatory or otherwise perfidiously objectionable (as determined by Eastern Connecticut Paranormal Society), libelous or slanderous, do not ridicule, mock, disparage, intimidate or abuse anyone, do not advocate the violent overthrow of any government, do not incite, encourage or threaten physical harm against another, do not depict or condone animal abuse, do not violate any applicable law, regulation, or rule, and do not violate the privacy or publicity rights of any third party;

5. Contributions do not contain material that solicits PII (Personally Identifiable Information) from anyone under 18 or exploits people under the age of 18 in a sexual or violent manner, and do not violate any national, federal or state law concerning child pornography or otherwise intended to protect the health or well-being of minors;

6. Contributions do not include any offensive comments, statements or messages that are connected to race, national origin, gender identity, sexual orientation, sexual preference or physical handicap (as determined by Eastern Connecticut Paranormal Society);

7. Contributions do not otherwise violate, or link to material that violates, any provision of this Agreement or any applicable law or regulation.

CONTRIBUTIONS LICENSE

Regarding Disqus Commenting Contributions

Currently, the main means through which Contributing is done is by utilizing the third-party commenting service, Disqus, on the Website (especially through individual articles or blog entries). By Contributing via Disqus ("Disqus commenting) you will need to utilize the registration or login functionality provided by Disqus ("Disqus Access Methods"), which are subject to change. We make no representations regarding the currency or constancy of the Disqus Access Methods, but as of this Agreement's current revision Disqus Access Methods are of two primary variants: firstly, using an existing (or creating a new) Disqus, Facebook, Twitter, or Google account to allow Disqus commenting on the Website; or secondly, using a guest account to allow Disqus commenting on the Website. Both Disqus Access Methods entail interaction with Disqus' servers and service API at some point and require accepting their Terms of Service and Privacy Policy (collectively, "Disqus' Agreements"). Links to Disqus' Agreements are subject to change and we make no representations regarding the currency or constancy of Disqus' Agreements or the links to them, so please visit their website for the latest versions and requirements and to determine what information they collect, how they utilize it, and how to go about limiting or restricting said collection and utilization of information. As of this Agreement's drafting, Disqus, when processing guest comments, reveals to us, through Disqus' administrative tools, your masked email or IP address so that we may take action to ensure Contributions are appropriate and that we can approve Contributions for display on the Website. The alternative Disqus Access Method as of this drafting allows the Contributor to log in through either an existing or newly-created Disqus account, or through an already-established Facebook, Twitter, or Google account (Facebook, Twitter, and Google are hereby referred to as "Third-Party Social Media Companies" or, each singularly, as a "Third-Party Social Media Company"), and Contribute to the Website through Disqus commenting whilst utilizing one of those Third-Party Social Media Companies' accounts and session credentials ("Third-Party Social Media Access Methods"). In such scenarios, the Contributor will interact with at least one Third-Party Social Media Company or Disqus itself if utilizing a Disqus account or its guest Disqus Access Method to log in. In addition, they will need to accept and abide by Disqus' Agreements as previously discussed in this section. If utilizing one or more of the Third-Party Social Media Access Methods as one of the Disqus Access Methods, then the respective Terms of Service (or Terms of Use) and Privacy Policies of the respective Third-Party Social Media Companies (collectively, "Third-Party Agreements") will need to be accepted and abided by and the Contributor should refer to the respective websites for the latest versions and requirements and to determine what information they collect, how they utilize it, and how to go about limiting or restricting said collection and utilization of information.

In all such cases involving utilizing Disqus commenting, our Terms of Use and Privacy Policy agreements must also be accepted and the terms abided by in order to be a Contributor through that platform on the Website.

Disqus provides some analytics information to Eastern Connecticut Paranormal Society for us to better understand our demographics and to aid us in making the Website better for our Contributors informationally and in terms of the experience offered: including making the Website more accessible and customizable for Contributors from a variety of backgrounds and with an eclectic pantheon of expectations. Consequently, Contributors should assume Disqus commenting will display on the Website Contributions through its service alongside basic information about the Contributor who is Contributing (in acceptance and in accord with Disqus' Agreements) as public information (such as, but not limited to, user name, Disqus or Third-Party Social Media Company profile, post history, etc.) and potentially as PII (Personally Identifiable Information). What is displayed or retained by Disqus or Third-Party Social Media Companies is governed by Disqus' Agreements and Third-Party Agreements and the Contributor is advised to consult those pertinent agreements or to contact the companies if there are questions or concerns. But refusal to accept and abide by those agreements and our Terms of Use and Privacy Policy preclude the right to Contribute to Eastern Connecticut Paranormal Society or the Website as a Contributor. You indemnify us against all such matters pertaining to how Disqus and these Third-Party Social Media Companies collect, make use of, and act upon information that you might provide to them.

Regarding the Rights and Licenses on Eastern Connecticut Paranormal Society and Website for Contributors' Contributions

If you are a Contributor, you own the rights to that which you Contribute to Eastern Connecticut Paranormal Society or the Website except as modified or limited by Disqus' Agreements (if utilizing Disqus commenting), Third-Party Agreements (if utilizing Third-Party Social Media Access Methods or contributing through respective Third-Party Social Media Companies), and this Agreement and our Privacy Policy.

As a Contributor, through the act of Contributing any Contributions to the Website or to Eastern Connecticut Paranormal Society and including upon and within our social media accounts (and in which case, after Third-Party Agreements: including their licensing terms, are agreed to and taken into account), you agree to the following: you automatically grant to us and represent and warrant that you have the right to grant to Eastern Connecticut Paranormal Society, a non-exclusive, unlimited, irrevocable, perpetual, royalty-free, world-wide, fully-paid right and license to host, use, copy, reproduce, disclose, broadcast, publish, retitle, archive, store, cache, publicly display, publicly discuss, publicly perform, reformat, transmit, translate, excerpt (in whole or in part), and distribute such Contributions (including your image or voice or both, if included as part of your Contributions and if you have not explicitly denied such a usage when initially Contributing) for any purpose aside from explicitly commercial activities that would seek to profit off of your Contributions (if a potential explicitly commercial opportunity becomes available in respect to your Contributions, we would be interested in working up a new contract with you in respect to that opportunity). However, by Contributing, you accept that your Contributions may appear near (though will not be the subject of) advertising on the Website or Eastern Connecticut Paranormal Society or near requests for donations, solicitations, or near offerings of potential products or services that we might proceed with in the future and that you will have no right to compensation in such cases. We also reserve the right to prepare derivative works of, or incorporate into other works, such Contributions, and to grant and authorize sublicenses of the foregoing for non-explicitly-commercial purposes. At the time of Contributing you can specify sublicensing terms and if we do not accept such terms, the Contribution will either be not sublicensed or removed entirely as a Contribution. The use and distribution of Contributions may occur in any media formats and through any media channels. Such use and distribution license will apply to any form, media, or technology now known or hereafter developed (unless otherwise modified or restricted by Third-Party Agreements or Disqus' Agreements), and includes our use of your name, company name, and franchise name, as applicable, and any of the trademarks, service marks, trade names and logos, personal and commercial images you provide. Eastern Connecticut Paranormal Society does not assert any ownership over your Contributions; rather, as between us and you, subject to the rights granted to us in this Agreement, you retain full ownership of all of your Contributions and any intellectual property rights or other proprietary rights associated with your Contributions.

As an example, we are not going to sell t-shirts with that quote you came up with (but may be willing to negotiate terms if it is a sigil or similar product), but we still can, at our discretion, decide to implement an ad framework, at some point, to generate supplemental revenue or, more likely, offset hosting and sunk costs and have your comment, or sigil, or whatever Contribution was made present on the same Web page of the Website upon which the ad is being displayed. So, advertising, messaging, promotion of the site, further elucidation upon understanding, etc. are all under the purview of this license; but, for explicit commercial purposes we will request your permission and only act on an affirmative response and in a manner mutually-agreed upon. As a matter of practice, we will, even though not required per Agreement, almost always contact you regarding certain non-standard usages of your Contributions or to discuss matters surrounding your Contributions so that we can reach a mutually-beneficial arrangement through discussion, negotiation, de-escalation, incentivization and/or arbitration. Also note that we do not currently engage in anything close to the extent that the scope outlined herein this Agreement, but we reserve the right to do so in the future and will announce such changes and post the updated Terms of Use Agreement to be accepted. And again, everything regarding the use of your Contributions applies through our social media channels and presence as well (e.g., YouTube, Twitter, Facebook, etc. after Third-Party Agreements and their limitations are accepted and take effect) and allows for us to utilize it in our Services, as previously defined, after taking into account your acceptance of Third-Party Agreements and/or Disqus' Agreement and our Agreement.

To reiterate: in consideration for Eastern Connecticut Paranormal Society granting you access to and use of the Website and our Services, you agree that we can enable advertising on our Services, including in connection with the display of your content or other information (after the acceptance and limitations of Third-Party Agreements take effect). We may also use your Contributions alongside aspects of Eastern Connecticut Paranormal Society or the Website in order to promote the Website or Eastern Connecticut Paranormal Society; including any potential products, content, or services. We will never sell your Contributions to third parties without your explicit permission though.

You are responsible for the Contributions you make in your role as a Contributor to Eastern Connecticut Paranormal Society or to the Website. This means you assume all risks and indemnify us against all risks related to your Contributions, including, but not limited to, a user's reliance on its accuracy for finance or health purposes, a user's claims relating to intellectual property infringement, or other legal, ethical, or financial situations that might result from Contributing.

Furthermore, we have the right, in our sole and absolute discretion, to (i) edit, redact or otherwise change any Contributions, (ii) re-categorize any Contributions to place them in more appropriate locations or (iii) pre-screen or delete any Contributions that are determined to be inappropriate or otherwise in violation of this Agreement.

By Contributing your Contributions to the Website or to Eastern Connecticut Paranormal Society (e.g., through e-mail, social media, Disqus commenting, etc., but not excluding other forms), you hereby authorize us to grant to each end user a personal, limited, non-transferable, perpetual, non-exclusive, royalty-free, fully-paid license to access, download, print and otherwise use your Contributions for their internal purposes and not for distribution, transfer, sale or commercial exploitation of any kind.

SOCIAL MEDIA

When Contributing to Eastern Connecticut Paranormal Society or our Website you will likely do so through Disqus Access Methods or other Third-Party Social Media Access Methods as part of Disqus commenting. That scenario was discussed in the previous section under CONTRIBUTIONS LICENSE: Regarding Disqus Commenting Contributions. Please consult that section for what you agree to, your rights, license terms, etc. In cases where you, as a Contributor, end up Contributing through Third-Party Social Media Companies to Eastern Connecticut Paranormal Society or our Website (from the definition, this includes our social media accounts and channels) then you agree to accept and abide by the terms specified in the previous section under CONTRIBUTIONS LICENSE: Regarding the Rights and Licenses on Eastern Connecticut Paranormal Society and Website for Contributors' Contributions. We do not currently offer in-house registration under the direct purview of Eastern Connecticut Paranormal Society, so we do not have access to your accounts nor do we have the ability to intervene or intercede when the issue lies between you and a Third-Party Social Media Company or Disqus. We also do not offer Third-Party Social Media Access Methods to interact with the non-Disqus commenting aspects of the Website itself as of this update to the Terms of Use and Privacy Policy.

We do link to our Twitter feed, Facebook group, YouTube Channel, and Gmail account, but do not exercise control over their Terms of Use (or Terms of Service) or Privacy Policies, so this section is solely clarifying the interactions you might have with Eastern Connecticut Paranormal Society social media (at some point in the future) and leaving the detailed rights, licenses and agreements, and terms to the previous sections. You indemnify us against all such risks related to or between you and Third-Party Social Media Companies and Disqus in respect to your Contributions, simply by engaging in the act of Contributing to the Website or Eastern Connecticut Paranormal Society.

Furthermore and in all cases utilizing Disqus Access Methods or other Third-Party Social Media Access Methods or involving Third-Party Social Media Company or Disqus in respect to the Website, you indemnify us of any obligation to pay any fees or make Eastern Connecticut Paranormal Society subject to any usage limitations imposed by such third party service providers as a result of any of your Contributions.

You must accept and abide by the terms and conditions outlined in this Agreement to Contribute at all.

SUBMISSIONS

You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Website, Eastern Connecticut Paranormal Society, or Eastern Connecticut Paranormal Society's Services (collectively, "Submissions") provided by you to Eastern Connecticut Paranormal Society (whether as a Contributor or a user) are non-confidential, unless otherwise stipulated and agreed upon beforehand, and Eastern Connecticut Paranormal Society (as well as any designee of ours) and the Website shall be entitled to the unrestricted use and dissemination of these Submissions without acknowledgment or compensation to you, for any reason that works toward reinforcing or invigorating our Purpose.

In this case, Submissions are distinct from Contributions in that they can be presented by either Contributors or regular users and through any means of contact and are focused upon the "meta" of how the Website, Eastern Connecticut Paranormal Society, or its Services are run or how they can be improved upon in order to further strengthen the activities we undertake and the Contributions that can be made to bolster our Purpose.

We reserve the right not to acknowledge every user's Submission that goes into decisions surrounding our Purpose, but out of respect, and especially when it is a novel and powerful suggestion, we likely will; at least, give kudos to whom kudos should be due.

PROHIBITED ACTIVITIES

You may not access or use the Website for any other purpose other than that for which Eastern Connecticut Paranormal Society makes it available. The Website may not be used in connection with any commercial endeavors except those that are specifically endorsed or approved by us. Prohibited activity includes, but is not limited to:

1. attempting to bypass any measures of the Website designed to prevent or restrict access to the Website, or any portion of the Website

2. attempting to impersonate another user or person or using the username of another user

3. criminal or tortious activity

4. deciphering, decompiling, disassembling or reverse engineering any of the software comprising or in any way making up a part of the Website

5. deleting the copyright or other proprietary rights notice from any Website content

6. engaging in any automated use of the system, such as using any data mining, robots or similar data gathering and extraction tools without the express permission of Eastern Connecticut Paranormal Society

7. except as may be the result of standard search engine or Internet browser usage, using or launching, developing or distributing any automated system, including, without limitation, any spider, robot (or "bot"), cheat utility, scraper or offline reader that accesses the Website, or using or launching any unauthorized script or other software without the express permission of Eastern Connecticut Paranormal Society

8. harassing, annoying, intimidating or threatening any of our operational stakeholders or agents (including any current or future administrators, moderators, community liaisons, etc.) engaged in providing any portion of our Services to you

9. harassing, annoying, intimidating or threatening any of our Contributors whether on the Website, itself, such as harassing a Contributor utilizing a technology like Disqus commenting on one of our articles, or via our social media channels

10. interfering with, disrupting, or creating an undue burden on the Website or the networks or services connected to the Website

11. making any unauthorized use of our Services, including collecting usernames and/or personal information of users by electronic or other means for the purpose of sending unsolicited messages, emails, etc.

12. systematic retrieval of data or other content from the Website to create or compile, directly or indirectly, a collection, compilation, database or directory without written permission from Eastern Connecticut Paranormal Society (especially, but not limited to, our glossary or grading system)

13. tricking, defrauding or misleading Eastern Connecticut Paranormal Society and other users, especially in any attempt to learn sensitive account information such as passwords or other privileged information

14. using any information obtained from the Website in order to harass, abuse, or harm another person

15. using our Services as part of any effort to compete with or undermine Eastern Connecticut Paranormal Society or to provide services that result from pilfering or scraping the content of Eastern Connecticut Paranormal Society

16. using the Website in a manner inconsistent with any and all applicable laws and regulations

INTELLECTUAL PROPERTY RIGHTS

The content on the Website ("Content" or "our Content"), textual and illustrative (e.g., renditions of sigils, a variety of photographs, illustrative diagrams, etc.), including the Eastern Connecticut Paranormal Society logo and motto ("Our mission is simple: to find the truth") contained herein ("Marks") are owned by or licensed to Eastern Connecticut Paranormal Society, and are subject to copyright and other intellectual property rights under United States and foreign laws and international conventions. Our Content, includes, without limitation, all bespoke source code (unless licensed otherwise), databases, functionality, software, website designs, text, titles, audio, sounds, music, video, animations, illustrations, formulae, 3D models, photographs (including public domain images and other appropriately-licensed or purchased content), and custom graphics, diagrams, and graphs. All Eastern Connecticut Paranormal Society graphics, logos, designs, page headers, scripts and service names are registered trademarks, common law trademarks or trade dress of Eastern Connecticut Paranormal Society in the United States and/or other countries. Our Content may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or in connection with any service in any manner that is likely to cause confusion (including, but not limited to, sub-forums, chat channels, software applications, mobile apps, video games, film, music, theater, etc.) and may not be copied, imitated, or used, in whole or in part, without the prior written permission of Eastern Connecticut Paranormal Society or without the appropriate license and except as modified in the below section on HYPERLINKS.

Content on the Website is provided to you "AS IS" for your information and personal use only and may not be used, copied, reproduced, aggregated, distributed, transmitted, broadcast, displayed, sold, licensed, or otherwise exploited for any other purposes whatsoever without the prior written consent of the respective owners. Provided that you are eligible to use the Website, you are granted a limited license to access and use the Website and our Content and to download, project upon a screen, or print a copy of any portion of our Content to which you have properly gained access solely for your personal, non-commercial use or for a valid educational use. Eastern Connecticut Paranormal Society reserves all rights not expressly granted to you in and to the Website and our Content and Marks.

You are also granted a limited, nonexclusive right to create a hyperlink to any page of this Website, provided such link does not portray Eastern Connecticut Paranormal Society or our Services in a false, misleading, derogatory, or otherwise defamatory manner. Inclusion of, linking to or permitting the use or installation of any Third Party Website or any Third Party Content does not imply approval or endorsement thereof by Eastern Connecticut Paranormal Society. To Agreement

We may modify this Agreement from time to time and any changes to this Agreement from the previous Agreement will be posted at the top of this Terms of Use page under the section titled Recent Revisions and a notice will be displayed on the front page for at least thirty (30) days after such revisions are made and a notice will be generated via clickwrap to the user. You agree to be bound to any changes to this Agreement when you use the Website or any Services we may provide after any such modifications become effective. Between Users

If there is a dispute between users of the Website, or between users and any third party, you understand and agree that we are under no obligation to become involved. Governing Law; Jurisdiction.

This Agreement and all aspects of the Website and any of our Services provided is that all shall be governed by and construed in accordance with the internal laws of the State of Connecticut, without regard to conflict of law provisions. With respect to any disputes or claims not subject to informal dispute resolution or arbitration (as set forth below), you agree not to commence or prosecute any action in connection therewith other than in the state and federal courts located in New London County, State of Connecticut, and you hereby consent to, and waive all defenses of lack of personal jurisdiction and forum non conveniens with respect to, venue and jurisdiction in such state and federal courts. Application of the United Nations Convention on Contracts for the International Sale of Goods is excluded from this Agreement. Additionally, application of the Uniform Computer Information Transaction Act (UCITA) is excluded from this Agreement. In no event shall any claim, action or proceeding by you related in any way to the Website or any Services we may provide be instituted more than two (2) years after the cause of action arose.

Informal Resolution.

To expedite resolution and control the cost of any dispute, controversy or claim related to this Agreement ("Dispute"), you and Eastern Connecticut Paranormal Society agree to first attempt to negotiate any Dispute (except those Disputes expressly provided below) informally for at least thirty (30) days before initiating any arbitration or court proceeding. Such informal negotiations commence upon written notice from one person to the other.

Binding Arbitration.

If you and Eastern Connecticut Paranormal Society are unable to resolve a Dispute through informal negotiations, either you or Eastern Connecticut Paranormal Society may elect to have the Dispute (except those Disputes expressly excluded below) finally and exclusively resolved by binding arbitration. Any election to arbitrate by one party shall be final and binding on the other. YOU UNDERSTAND THAT ABSENT THIS PROVISION, YOU WOULD HAVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL. The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org. The determination of whether a Dispute is subject to arbitration shall be governed by the Federal Arbitration Act and determined by a court rather than an arbitrator. Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by a party. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in United States, New London County, State of Connecticut. Except as otherwise provided in this Agreement, you and Company may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate or enter judgment on the award entered by the arbitrator.

Restrictions.

You and Eastern Connecticut Paranormal Society agree that any arbitration shall be limited to the Dispute between Eastern Connecticut Paranormal Society and you individually. To the full extent permitted by law, (1) no arbitration shall be joined with any other; (2) there is no right or authority for any Dispute to be arbitrated on a class-action basis or to utilize class-action procedures; and (3) there is no right or authority for any Dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

Exceptions to Informal Negotiations and Arbitration.

You and Eastern Connecticut Paranormal Society agree that the following Disputes are not subject to the above provisions concerning informal negotiations and binding arbitration: (1) any Disputes seeking to enforce or protect, or concerning the validity of any of your or Eastern Connecticut Paranormal Society's intellectual property rights; (2) any Dispute related to, or arising from, allegations of theft, piracy, invasion of privacy or unauthorized use; and (3) any claim for injunctive relief. If this Section is found to be illegal or unenforceable then neither you nor Eastern Connecticut Paranormal Society will elect to arbitrate any Dispute falling within that portion of this Section found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and you and Eastern Connecticut Paranormal Society agree to submit to the personal jurisdiction of that court.

INDEMNITY

You agree to defend, indemnify, and hold Eastern Connecticut Paranormal Society, its subsidiaries, and affiliates, and their respective operational stakeholders, administrators, moderators, liaisons, partners, and agents, harmless from and against, any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of your Contributions, use of our Services provided, or arising from a breach of this Agreement or any breach of your representations and warranties set forth above. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

Except as explicitly stated otherwise, any notices given to Eastern Connecticut Paranormal Society shall be given by email to the address listed in the contact information below. Any notices given to you shall be given to the email address you provided to us directly via email, social media, or Website commenting systems (so far as Disqus commenting can provide and persist such information), or such other address as each party may specify. Notice shall be deemed to be given twenty-four (24) hours after the email is sent, unless the sending party is notified that the email address is invalid. We may also choose to send notices by regular mail if that information is provided to us.

Our Website has the right to maintain certain data that you transfer to the Website for the purpose of the performance of our Services, as well as data relating to your use of any of our Services.
